1. Acceptance of these terms

By installing or using BudgetMate ("the app") you accept these Terms of Service and the Privacy Policy, which forms part of this agreement between you and Marvin Cerdas Angulo ("the developer"). If you do not agree, do not use the app and uninstall it.

2. What BudgetMate is, and what it is not

BudgetMate is a personal finance recording and organisation tool that runs on your device. It requires no account, does not connect to your banks, does not execute real payments or transfers, and does not hold money or financial instruments.

BudgetMate provides no financial, banking, investment, accounting, tax or legal services, and nothing it displays constitutes advice of any of those kinds. Interest, late-payment, available credit, credit-card cycle, budget and currency conversion figures are estimates based on the data you enter and the parameters you configure. They do not replace your financial institution's statements, calculations or official communications. In case of any discrepancy, what your bank or card issuer reports prevails.

Exchange rates come from a public third-party source (Frankfurter), are provided for reference only, may be out of date or inaccurate, and do not reflect the rate your bank will apply to an actual transaction.

3. Licence

The developer grants you a personal, worldwide, revocable, non-exclusive, non-transferable licence without the right to sublicense, to use the app on devices you control, for personal, non-commercial purposes, subject to these terms.

You may not: (a) decompile, disassemble or reverse engineer the app, except to the extent applicable law expressly permits; (b) redistribute, sell, rent or sublicense the app; (c) remove proprietary notices; (d) use the app for any unlawful purpose.

The app, its code, design, name and marks belong to the developer. Third-party components are governed by their own licences, listed on the About screen.

4. Your data and your content

Your financial data and the images you attach belong to you. The developer claims no ownership over them, does not host them on any server of its own, and cannot access them.

By attaching an image to a transaction you represent and warrant that you hold all necessary rights to that content, that it infringes no copyright, trademark, privacy or other third-party right, and that it is not unlawful. You are solely responsible for the content you put into the app.

Because images are stored only on your device and, if you choose, in your own Google Drive account, the developer does not publish, distribute, make available to other users, or host them.

5. Copyright claims and takedown

As currently configured, the app neither hosts nor publishes user content, so there is no material the developer could remove at a third party's request. Should the app later add hosting or public content-sharing features, the developer will implement a notice-and-takedown procedure consistent with the Digital Millennium Copyright Act (17 U.S.C. § 512) and equivalent legislation, and will designate and publish an agent to receive notifications.

In the meantime, any claim of alleged infringement relating to the app may be sent to legal-budgetmate@marvincerdas.dev.

6. Backups, passphrase and data loss

7. Third-party services

The app relies on third-party services: Google Play Services and Google Drive (Google LLC), Firebase Crashlytics (Google LLC), and the Frankfurter API. Use of those services is additionally governed by their providers' own terms and policies. The developer does not control their availability, accuracy or continuity and is not liable for their interruption or change.

8. Availability, updates and termination

The developer may modify, suspend or discontinue the app or any of its features at any time. Updates may be required for the app to keep working. You may terminate this agreement at any time by uninstalling the app. Data on your device remains yours and under your control.

9. No warranties

The app is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, accuracy, freedom from error, and non-infringement. The developer does not warrant that the app will operate uninterrupted, securely or error-free, or that the results it produces will be accurate or reliable.

Some jurisdictions do not allow the exclusion of certain warranties; there, the above exclusions apply to the fullest extent permitted by law, and any statutory consumer guarantees you have remain unaffected.

10. Limitation of liability

To the fullest extent permitted by applicable law, the developer shall not be liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost data, lost opportunities or reputational harm, arising out of the use of or inability to use the app, even if advised of the possibility.

In no event shall the developer's total aggregate liability for any claim relating to the app exceed the greater of the amount you paid for it in the twelve months preceding the event giving rise to the claim, or fifty US dollars (USD 50).

Nothing in these terms excludes or limits liability for wilful misconduct, gross negligence, fraud, death or personal injury caused by negligence, or any other liability that may not lawfully be excluded.

11. Indemnity

You agree to hold the developer harmless from claims, damages, losses and reasonable expenses (including attorneys' fees) arising from: (a) your use of the app in breach of these terms; (b) the content you put into the app; (c) your infringement of third-party rights or applicable law.

12. Informal dispute resolution first

Before starting arbitration or court proceedings, the complaining party must send the other a written notice describing the dispute and the relief sought — to legal-budgetmate@marvincerdas.dev in the developer's case. Both parties will attempt to resolve it in good faith for sixty (60) days from that notice. This step is a precondition, and any limitation period is tolled meanwhile.

13. Binding arbitration and class action waiver

READ THIS SECTION CAREFULLY: IT AFFECTS HOW DISPUTES ARE RESOLVED AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

13.1. Agreement to arbitrate. Any dispute, claim or controversy arising out of or relating to these terms or the app — including its existence, validity or termination — that has not been resolved under section 12 shall be finally resolved by binding, individual arbitration, administered by the Conciliation and Arbitration Centre of the Costa Rican Chamber of Commerce (Centro de Conciliación y Arbitraje de la Cámara de Comercio de Costa Rica) under its rules in force at the time it is commenced and under Costa Rican Law No. 7727 on Alternative Dispute Resolution. Arbitration shall be before a single arbitrator, deciding at law, seated in San José, Costa Rica, and conducted in Spanish; it may proceed remotely and on the documents where the applicable rules allow. The award shall be final and enforceable in any court of competent jurisdiction.

13.2. Class action waiver. Disputes shall be brought only in an individual capacity. You waive any right to bring or participate in class actions, collective actions, representative actions or consolidated arbitrations. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. If this clause 13.2 is held unenforceable as to a particular claim, that claim — and only that claim — shall proceed in the courts identified in section 14, and the remainder of section 13 shall continue to apply to all others.

13.3. Exceptions. The following are not subject to arbitration: (a) claims that may be brought in a small claims court, so long as they remain individual; (b) actions seeking injunctive or equitable relief for infringement of intellectual property rights.

13.4. Right to opt out. You may opt out of this section 13 by emailing legal-budgetmate@marvincerdas.dev with the subject "Arbitration opt-out", stating your name and the device on which you use the app, within thirty (30) days of first accepting these terms. Opting out does not affect the rest of this agreement or your use of the app.

13.5. Legal limits. This section 13 applies only to the extent permitted by law. It does not apply to consumers resident in the European Economic Area, the United Kingdom, or any other jurisdiction whose mandatory consumer protection rules prohibit pre-dispute arbitration agreements or class action waivers. Those users retain in full their right to bring proceedings before the courts of their domicile and to use the dispute resolution mechanisms their law provides.

14. Governing law and jurisdiction

These terms are governed by the laws of the Republic of Costa Rica, without regard to its conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods.

For any dispute not subject to arbitration under section 13, the parties submit to the exclusive jurisdiction of the courts of San José, Costa Rica, and waive any other venue that might otherwise be available to them.

This choice of law and forum applies to the fullest extent permitted by law. It does not deprive a consumer, where their law mandatorily grants it, of the right to sue in the courts of their place of residence or of the protection of the public-policy rules of their country. In Costa Rica, the consumer rights granted by Law No. 7472 on the Promotion of Competition and Effective Consumer Defence cannot be waived, and nothing in these terms limits access to the National Consumer Commission (Comisión Nacional del Consumidor).

15. Changes to these terms

The developer may amend these terms. Material changes will be announced inside the app with reasonable notice. Changes to section 13 will not apply retroactively to disputes already noticed under section 12. If you do not accept the new terms, your remedy is to stop using the app and uninstall it.

16. General

Severability.
If any provision is held invalid or unenforceable, it shall be replaced by a valid one of equivalent effect and the remainder shall stay in force.
Waiver.
Failure to exercise a right is not a waiver of it.
Assignment.
You may not assign this agreement without written consent. The developer may assign it in connection with a merger, acquisition or sale of assets, with notice inside the app.
Entire agreement.
These terms and the Privacy Policy are the entire agreement between the parties regarding the app.
Google Play.
Google is not a party to this agreement and has no responsibility for the app or its content.
